Operator Agreement.

This Operator Agreement governs your role as an operator of one or more CEO Arcade cabinets. It is incorporated into and forms part of the CEO Arcade Terms of Service. If this Operator Agreement conflicts with the Terms of Service, the more specific provision controls for the operation of CEO Arcade cabinets, unless a signed agreement with PermaShip, Inc. says otherwise.
CEO Arcade lets you operate real SaaS businesses through a game-like Mission Control dashboard. The dashboard may feel like a game, but the cabinet may involve real customers, real payments, real support obligations, real refunds, real chargebacks, real taxes, real infrastructure costs, and real legal responsibilities. No revenue, customer acquisition, cashout, profitability, valuation, buyout, or business success is guaranteed.
1. Parties
For this Agreement:
- “Platform,” “CEO Arcade,” “we,” “us,” or “our” means PermaShip, Inc., a Delaware corporation, doing business through CEO Arcade and related systems.
- “Operator,” “you,” or “your” means the person or entity that reserves, manages, or operates one or more cabinets through CEO Arcade.
- “Cabinet” means a platform-managed SaaS business, brand package, business concept, microsite, SaaS application, domain configuration, customer-facing application, or related operating environment made available through CEO Arcade.
- “Mission Control” means the operator dashboard where you manage the cabinet, approve missions, view credits, receive advisor recommendations, monitor upcoming Operational Costs, request changes, view revenue, and operate the business.
- “Credits” means internal CEO Arcade ledger units governed by the CEO Arcade Credit & Economy Policy.
- “Operational Costs” means recurring, monthly, usage-based, or cabinet-specific costs required to keep a cabinet and its supporting systems available, hosted, monitored, maintained, or usable.
- “Hard Costs” means external or irreversible costs we incur on your behalf, including domain registrations, infrastructure services, paid advertising, certain third-party services, or other costs identified as hard costs in Mission Control.
2. What You Are Buying
Unless CEO Arcade expressly states otherwise in a signed buyout or transfer agreement, you are buying or receiving the right to operate a platform-managed cabinet. You are not buying the entire underlying business, source code, PermaShip engine, CEO Arcade platform, business template, underlying SaaS substrate, platform infrastructure, domain, or full intellectual property ownership.
When you reserve or start operating a cabinet, CEO Arcade may remove the selected brand package from public inventory and make it available to you inside Mission Control. That reservation gives you a platform-managed operating position, not full ownership of all assets.
A cabinet may include:
- a brand package;
- a public microsite or marketing page;
- a launch-on-demand or already-built SaaS application;
- a Mission Control dashboard;
- AI advisor access;
- PermaShip-powered app-building, maintenance, QA, feature, CI/CD, or operational workflows;
- a credit ledger;
- revenue and cashout tooling;
- optional domain, DNS, email, support, analytics, and infrastructure features; and
- other services or features made available by CEO Arcade.
Some cabinets may be ready to operate immediately. Others may require app-building, provisioning, QA, domain setup, configuration, or other work before they are fully customer-facing. In all cases, there is no separate legal “activation” event that starts your rights or responsibilities. Mission Control access, cabinet status, credit balances, and Operational Costs are governed by the current account and cabinet state shown in Mission Control and the Terms of Service.
3. What the Platform Does
CEO Arcade may provide some or all of the following, depending on the cabinet, plan, available credits, approved missions, and platform status:
- makes cabinet opportunities available through the CEO Arcade catalogue;
- removes a selected cabinet or brand package from public inventory after reservation or purchase;
- provides access to Mission Control;
- provides a Chief of Staff, advisor board, AI agents, or other guidance tools;
- builds, provisions, configures, or maintains the underlying SaaS application;
- operates or connects the PermaShip execution layer for approved changes, feature work, QA, CI/CD, repairs, and maintenance;
- manages or facilitates payment rails, customer payments, revenue tracking, settlement, reserves, and cashout features;
- maintains the credit ledger and applies the Credit & Economy Policy;
- displays upcoming or expected Operational Costs in Mission Control when available;
- deducts eligible credits or charges payment methods for Operational Costs, subscriptions, hard costs, approved missions, or other services;
- helps provision domains, DNS, hosting, SSL, email, infrastructure, monitoring, and third-party services when available and approved;
- monitors cabinet health, usage, and infrastructure requirements;
- applies reserves, holds, fraud controls, risk controls, and legal compliance processes;
- manages reclaim, suspension, buyout, transfer, and secondary-market processes if and when offered; and
- provides support through hello@permaship.ai.
CEO Arcade may change, improve, restrict, suspend, remove, or replace platform systems, agents, infrastructure, cabinet templates, vendors, or provider integrations as needed for security, reliability, cost, legal compliance, business reasons, or platform evolution.
4. What the Operator Does
As an Operator, you are responsible for:
- operating your cabinet lawfully and in good faith;
- complying with the CEO Arcade Terms of Service, this Operator Agreement, the Credit & Economy Policy, Refund Policy, Privacy Policy, and any cabinet-specific rules;
- reviewing Mission Control for cabinet status, missions, warnings, upcoming Operational Costs, quotes, credit balances, revenue, customer issues, and support needs;
- approving or declining credit-spend actions before they are executed;
- keeping enough eligible credits or a valid payment method available for Operational Costs and approved services;
- communicating honestly with customers;
- honoring refund, delivery, privacy, support, and customer-service commitments associated with the cabinet;
- avoiding fraud, deception, abuse, spam, unlawful content, illegal activity, or prohibited business practices;
- completing Stripe Connect onboarding, KYC, tax forms, identity verification, or business verification when required for cashout or certain business features;
- keeping your account information, billing information, tax information, and payment information accurate;
- notifying CEO Arcade if you become aware of security issues, customer disputes, regulatory issues, payment problems, or material business risks; and
- obtaining any licenses, permits, registrations, or authorizations required for your own business activities, unless CEO Arcade expressly agrees in writing to handle them.
CEO Arcade may provide advisors, missions, playbooks, examples, scripts, and recommendations, but you remain responsible for business decisions, customer communications, and the legal operation of the cabinet.
5. Mission Control, Advisors, and Approved Actions
Mission Control is the primary interface for operating a cabinet. It may display:
- cabinet status;
- credit balances;
- upcoming Operational Costs;
- build or deployment status;
- domain status;
- customer activity;
- revenue information;
- advisor recommendations;
- missions;
- quotes;
- support issues;
- app health;
- infrastructure recommendations; and
- work status for approved actions.
Advisor agents may recommend business, product, growth, infrastructure, branding, support, financial, or technical actions. Advice is not a guarantee. An advisor recommendation does not mean a mission will succeed, generate revenue, or produce a particular outcome.
For non-trivial work, CEO Arcade may present a quote or cost estimate. The quote may include credit cost, confidence, risk, expected recurring impact, Hard Costs, Operational Cost impact, human-review requirements, and included retry or QA assumptions. If you approve a quote, eligible credits may be reserved and the work may be sent to PermaShip, App Factory, QA Agent, or another execution system.
Credits are typically reserved first and settled after work is completed, verified, cancelled, paused, or otherwise closed. Unused reserved credits may return to their source pool. Over-budget work may pause for additional approval.
6. Operational Costs
Every cabinet may incur Operational Costs. Operational Costs may include:
- hosting;
- compute;
- database usage;
- storage;
- bandwidth;
- domains;
- DNS;
- SSL;
- email;
- monitoring;
- observability;
- support tooling;
- QA;
- app maintenance;
- PermaShip work;
- AI execution;
- CI/CD;
- deployment;
- third-party services; and
- other cabinet-specific operating costs.
Mission Control will make you aware of upcoming Operational Costs when available. Those costs may depend on decisions you make, services you enable, domains you purchase, feature work you approve, infrastructure tiers you select, customer usage, traffic, bandwidth, email volume, database usage, support volume, AI usage, or other cabinet activity.
Operational Costs may be deducted from eligible credits. If you have a monthly subscription or Operator Plan that grants credits, those credits may be used to pay eligible Operational Costs according to the Credit & Economy Policy and Mission Control disclosures. Earned Credits, Purchased Credits, and other eligible credit classes may also be used depending on your treasury settings and applicable restrictions.
If your cabinet does not have enough eligible credits or a valid payment method to cover required Operational Costs, CEO Arcade may:
- notify you in Mission Control;
- prompt you to add credits or update payment details;
- deduct from other eligible credit balances;
- charge your saved payment method;
- downgrade or pause nonessential services;
- place the cabinet into grace;
- suspend or place the cabinet into safe mode;
- freeze credit spending or cashout;
- reclaim the cabinet after the reclaim window; or
- take other actions allowed by the Terms of Service.
7. Revenue Split and Earned Credits
Customer payments may be processed through Stripe, Stripe Connect, or another supported payment provider. Unless otherwise disclosed, CEO Arcade may collect or facilitate customer payments for the cabinet and apply a revenue waterfall.
The revenue waterfall may deduct:
- payment processing fees;
- taxes, VAT, sales tax, remittance obligations, or pass-through amounts;
- refunds;
- chargebacks;
- dispute fees;
- fraud reserves;
- risk reserves;
- the CEO Arcade or PermaShip platform fee;
- Operational Costs;
- infrastructure COGS;
- Hard Costs;
- approved services;
- third-party costs; and
- other cabinet-specific deductions disclosed in Mission Control or the Credit & Economy Policy.
The remaining eligible amount may become Earned Credits after settlement and reserve processing. Earned Credits may be reinvested into the cabinet or, if cashout conditions are met, withdrawn as cash through supported payout rails. Cashout is governed by the Credit & Economy Policy and may require KYC, tax forms, identity verification, reserves, account-good-standing status, and payment processor approval.
8. Ownership and License
8.1 Platform-Owned Assets
Unless a signed buyout or transfer agreement says otherwise, PermaShip, Inc. and its licensors retain all rights, title, and interest in:
- the PermaShip engine;
- the CEO Arcade platform;
- Mission Control;
- AI advisors and agent systems;
- unbranded substrate code;
- shared templates;
- shared modules;
- App Factory tooling;
- QA systems;
- platform documentation;
- platform APIs;
- infrastructure tooling;
- operational workflows;
- generalized improvements;
- reusable code;
- reusable feature modules;
- framework components; and
- other platform systems.
8.2 Brand Pack License
While your cabinet remains active and in good standing, CEO Arcade grants you a limited, revocable, non-exclusive or cabinet-specific license, as applicable, to use the brand package associated with the cabinet for operating that cabinet through CEO Arcade. If the cabinet is suspended, reclaimed, terminated, or no longer in good standing, that license may end.
8.3 Customer Data
Customer data associated with a cabinet is generally treated as data tied to that cabinet. CEO Arcade processes that data to operate the platform, provide services, maintain payment rails, support customers, apply legal and risk controls, and provide Mission Control functionality. Customer data may be subject to privacy, payment processor, security, legal, refund, tax, retention, and dispute requirements.
If a cabinet is reclaimed, sold through an approved transfer, or bought out, customer data may be handled according to the applicable policy, transfer agreement, privacy rules, and legal obligations. Customer data from one cabinet does not automatically transfer to other cabinets merely because they use a similar business template.
8.4 Custom Features
Custom features, feature work, generated code, app changes, copy updates, branding updates, and other improvements may be treated as platform-owned, reusable, cabinet-specific, licensed, or transferable depending on the quote, plan, buyout status, and written terms. Unless a signed agreement says otherwise, CEO Arcade may reuse generalized learnings, non-confidential patterns, modules, fixes, features, templates, workflows, and improvements across other cabinets and platform systems.
8.5 Domains
Custom domains purchased through CEO Arcade are platform-managed by default and may be platform-owned until a buyout or approved transfer occurs. Domain registrations, renewals, DNS configuration, SSL, email records, transfers, and related processes may be governed by the Credit & Economy Policy, Refund Policy, Domain terms, the applicable registrar's rules, and the Terms of Service.
9. Buyout
CEO Arcade may offer a buyout path for eligible cabinets. Buyout availability is not guaranteed. Eligibility may depend on:
- time on platform;
- account standing;
- revenue history;
- customer obligations;
- KYC and tax completion;
- payment status;
- risk status;
- chargeback history;
- cabinet complexity;
- domain status;
- support obligations;
- third-party service constraints; and
- platform approval.
A buyout may transfer some or all of the brand IP, cabinet-specific source code, custom domain, customer data rights, or other assets described in the buyout offer. A buyout does not transfer the PermaShip engine, CEO Arcade platform, unbranded reusable substrate, shared templates, generalized modules, platform APIs, platform systems, or other reusable infrastructure unless the buyout agreement expressly says so.
Buyout pricing may vary based on business performance, revenue, growth, app complexity, platform investment, feature history, customer base, domain value, market value, and other factors. A buyout may be payable in cash, eligible credits, or a combination if CEO Arcade supports that payment method at the time.
After buyout, the operator may need to provide or connect their own Stripe account, legal entity, tax information, domain registrar account, hosting account, infrastructure account, privacy documentation, customer support tooling, or other business systems. CEO Arcade may continue to provide optional managed services after buyout for separate fees.
10. Suspension, Reclaim, and Exit
A cabinet may be suspended, limited, or reclaimed for reasons including:
- insufficient credits or failed payment for Operational Costs;
- cancelled or expired subscription;
- unpaid Hard Costs;
- repeated chargebacks;
- fraud or suspected fraud;
- unlawful activity;
- prohibited content;
- payment processor restrictions;
- registrar or domain issues;
- security risk;
- customer harm;
- unresolved compliance issues;
- breach of this Agreement or the Terms of Service; or
- operational or legal necessity.
A typical lifecycle may include:
- Active: the cabinet operates normally;
- Operational Cost Due: upcoming or current Operational Costs are due;
- Grace: the cabinet may remain live while Mission Control shows warnings;
- Suspended: the public app may be paused, limited, or replaced with a holding page;
- Reclaim Window: you may restore the cabinet by paying outstanding amounts and resolving issues; and
- Reclaimed: the cabinet returns to platform control and may return to inventory, be operated by CEO Arcade, be sold or transferred if available, or be retired.
Reclaim timing may vary based on cabinet status, customer obligations, risk, payment history, plan, and applicable law. Earned Credits may remain subject to settlement, reserves, chargebacks, refunds, tax, KYC, and cashout rules even after suspension or reclaim.
11. Secondary Market and Operator Transfer
CEO Arcade may in the future offer a secondary market or transfer mechanism where an operator can transfer operating rights in a cabinet to another approved operator. This feature is not guaranteed and may be subject to eligibility, KYC, reserves, platform approval, customer obligations, marketplace fees, transfer holds, and anti-fraud rules.
Unless a cabinet has been bought out, an operator selling or transferring a cabinet generally transfers only platform-approved operating rights, not full ownership of the underlying platform assets. Proceeds from a transfer may be paid as credits, earned credits, cash, or another permitted form, and may be subject to holds, reserves, chargeback risk, and platform fees.
12. Operator Conduct and Prohibited Uses
You may not use CEO Arcade or any cabinet to:
- violate laws or regulations;
- engage in fraud, deception, fake transactions, self-dealing, money laundering, or credit abuse;
- create artificial revenue to obtain cashout or marketplace value;
- sell illegal, regulated, unsafe, infringing, or prohibited goods or services;
- misrepresent your relationship with CEO Arcade, PermaShip, or customers;
- harass, abuse, spam, or deceive customers;
- violate privacy, data protection, consumer protection, intellectual property, advertising, or payment rules;
- bypass credit controls, Operational Cost deductions, reserves, KYC, cashout requirements, or platform fees;
- interfere with platform infrastructure, security, or monitoring;
- attempt unauthorized access to other cabinets, accounts, code, infrastructure, or customer data; or
- use the platform in a way that creates unreasonable legal, operational, reputational, payment, or security risk.
13. No Employment, Partnership, Franchise, or Investment Relationship
This Agreement does not create an employment, agency, joint venture, partnership, franchise, securities, investment, or fiduciary relationship between you and PermaShip, Inc. You are not an employee of CEO Arcade or PermaShip. You may not represent that you are an employee, partner, franchisee, or authorized representative of CEO Arcade or PermaShip unless separately authorized in writing.
CEO Arcade is not selling securities, investment contracts, guaranteed income, passive income, or business opportunities with guaranteed results. You are operating a platform-managed cabinet under these terms and making business decisions at your own risk.
14. Disputes and Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes in good faith by contacting legal@permaship.ai.
Unless a different dispute-resolution process is required by applicable law or a signed agreement, unresolved disputes will be handled in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
15. Changes to This Agreement
CEO Arcade may update this Operator Agreement from time to time. Updated versions may be posted on the CEO Arcade website, in Mission Control, or otherwise made available. Changes take effect when posted or when otherwise stated. Continued use of CEO Arcade after changes take effect means you accept the updated Operator Agreement.
For material changes, CEO Arcade may provide additional notice through Mission Control, email, website notice, or account notifications.
