These Terms of Service (the “Terms”) govern your access to and use of CEO Arcade, including the CEO Arcade website, catalogue, Mission Control dashboard, credit ledger, AI advisors, app-building and app-operation services, payments and cashout features, and any related products, services, software, dashboards, documentation, or tools we provide (collectively, the “Platform”).
By creating an account, reserving or operating a cabinet, purchasing credits, approving work, receiving earned credits, using Mission Control, or otherwise using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity, and “you” means both you and that entity.
These Terms are intended to be read together with any posted or presented Operator Agreement, Refund Policy, Credit & Economy Policy, Privacy Policy, pricing page, checkout disclosure, cabinet-specific disclosure, or approved quote. If there is a conflict between these Terms and a cabinet-specific agreement or signed agreement, the more specific agreement controls for that cabinet.
Important: CEO Arcade lets you operate real software businesses through a game-like interface. The “game” is the dashboard experience. The underlying business may involve real customers, real payments, real operational risk, real refunds, real chargebacks, real taxes, and real legal obligations. CEO Arcade does not guarantee revenue, profit, customers, traffic, valuation, cashout eligibility, or business success.
1. Definitions
For these Terms:
- “CEO Arcade,” “we,” “us,” or “our” means CEO Arcade and its operating entity, PermaShip, Inc., together with any affiliates, contractors, service providers, and platform systems used to provide the Platform.
- “Operator” means the person or entity that reserves, manages, or operates one or more cabinets.
- “Cabinet” means a branded SaaS business, business concept, microsite, brand package, SaaS application, operating dashboard, or business property made available through CEO Arcade for reservation, setup, management, or operation.
- “Brand Pack” means the name, logo, copy, visual identity, positioning, domain suggestions, marketing microsite, and other brand assets associated with a cabinet.
- “Mission Control” means the operator dashboard where you receive briefings, approve missions, manage credits, interact with advisors, view app status, manage domains, request features, view operational cost information, and operate a cabinet.
- “Credits” means internal ledger units used on the Platform for approved actions, upgrades, operational costs, infrastructure, services, feature work, and other activities. Credits are not a cryptocurrency, security, stored-value instrument, transferable currency, or general-purpose payment instrument.
- “Monthly Credits” means credits granted as part of a subscription, Operator Plan, or monthly credit grant.
- “Purchased Credits” means credits you buy separately as top-ups or credit packs.
- “Promo Credits” means promotional, support, bonus, or goodwill credits we grant.
- “Earned Credits” means credits generated from a cabinet's net business proceeds after applicable payment processing fees, taxes or pass-through amounts, platform fees, operational costs, infrastructure costs, reserves, refunds, disputes, chargebacks, and other deductions.
- “Pending Earned Credits” means earned credits that have not yet completed settlement, clearing, or reserve processing.
- “Reserved Credits” means credits held against a quote, approved mission, operational cost, infrastructure action, domain purchase, feature, or other work until the action settles.
- “Locked Credits” means credits held against refund, chargeback, dispute, fraud, compliance, infrastructure, operational, or other risk exposure.
- “Operational Costs” means monthly, recurring, usage-based, or cabinet-specific costs required to keep a cabinet, application, domain, database, hosting environment, infrastructure, support functions, AI execution layer, monitoring, or related systems available or usable. Operational Costs may include hosting, database, bandwidth, storage, domains, DNS, SSL, email, observability, QA, support tooling, AI execution, app maintenance, deployment, and other costs attributable to the cabinet.
- “Hard Costs” means external or irreversible costs such as domain registrations, infrastructure upgrades, paid advertising, third-party services, or other expenses we incur on your behalf.
- “Platform Fee” means the percentage or fixed amount retained by CEO Arcade from net receipts or other business proceeds, as disclosed in pricing, checkout, Mission Control, or your Operator Agreement.
- “Buyout” means a transaction, if available and approved, through which an Operator purchases certain ownership rights in a cabinet, such as brand IP, domain, code, customer data rights, or other assets as specifically described in the buyout terms.
2. What CEO Arcade Provides
CEO Arcade provides a platform for reserving and operating platform-managed SaaS businesses. Depending on your plan, cabinet status, and approved actions, the Platform may include:
- access to a catalogue of cabinets;
- a guided matcher or advisor-assisted selection experience;
- reservation of a selected cabinet or Brand Pack;
- access to Mission Control;
- a CEO Arcade subdomain or microsite;
- AI advisors, a Chief of Staff, or other agentic guidance tools;
- AI staff or execution systems for approved actions;
- PermaShip-powered code, feature, deployment, QA, CI/CD, or infrastructure workflows;
- a credit ledger and treasury interface;
- Stripe or Stripe Connect-based payment and payout flows;
- domain search, domain purchase, DNS, SSL, and hosting support when approved;
- operational cost tracking and upcoming cost estimates;
- revenue tracking, settlement, reserve, and cashout tooling;
- infrastructure, build, QA, and deployment status reporting;
- customer, support, analytics, or revenue modules as they become available; and
- optional marketplace, buyout, transfer, portfolio, or advanced operator features.
Some cabinets may be available immediately. Others may be launch-on-demand, meaning the Brand Pack, business case, microsite, or catalogue listing may exist before the underlying SaaS application is fully built, configured, or ready for customer use.
3. Eligibility and Account Registration
You must be at least 18 years old and legally able to enter into a binding agreement to use CEO Arcade. You may not use the Platform if you are barred from doing so under applicable law, payment processor rules, sanctions programs, or platform policies.
You agree to provide accurate account information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. You may not share, sell, rent, transfer, or sublicense your account except as expressly permitted by CEO Arcade.
Each Operator account must be tied to a real person or valid registered entity. We may require identity verification, business verification, tax information, payment-method verification, or Stripe Connect onboarding before you use certain features, receive payouts, operate certain business types, or continue using the Platform.
4. Cabinet Reservation, Mission Control, and Launch-on-Demand Cabinets
4.1 Reservation
When you reserve a cabinet, you are reserving access to operate a platform-managed cabinet associated with a specific Brand Pack or business concept. Unless otherwise stated, a reservation does not mean that you own the cabinet, the code, the domain, the Brand Pack, the underlying business template, the PermaShip engine, or the CEO Arcade platform assets.
A reservation may remove the selected Brand Pack from public inventory and place the cabinet into a preparation queue. We may decline, cancel, or reverse a reservation if we determine that the cabinet, business model, operator, payment method, or use case presents legal, compliance, fraud, operational, reputational, or platform risk.
4.2 Immediate Mission Control Access
CEO Arcade may provide access to Mission Control immediately after checkout or account creation, even if the underlying SaaS application is still being built, configured, tested, or connected to customer-facing systems. Mission Control may show the cabinet's current status, first missions, app-build state, domain options, brand actions, upcoming Operational Costs, credit balances, and advisor recommendations.
There is no separate “active operating period” countdown that begins only after the application is ready. Your plan, credit grants, operational obligations, approved missions, and cabinet lifecycle are governed by the pricing, checkout disclosures, Mission Control state, and these Terms.
4.3 Launch-on-Demand Cabinets
For launch-on-demand cabinets, the catalogue listing, microsite, business case, or Brand Pack may exist before the underlying SaaS application is ready for customers. During preparation, you may be able to complete onboarding, review your brand, approve domain actions, review your ICP, prepare a first-customer plan, approve low-cost brand changes, or approve other permitted missions. We may provide estimated readiness windows, but such estimates are not guarantees.
4.4 Inventory
Cabinet inventory is dynamic. A cabinet or Brand Pack shown in the catalogue may become unavailable, reserved, purchased, reclaimed, retired, suspended, restocked, duplicated as a new Brand Pack, or offered on a secondary market. We may create additional cabinets with similar underlying business concepts, templates, or substrate code.
5. Operator Plans, Operational Costs, Renewal, and Business Lifecycle
5.1 Operator Plans
Your cabinet may be subject to an Operator Plan, recurring subscription, platform fee, credit plan, Operational Cost, infrastructure fee, or other plan terms disclosed at checkout, in Mission Control, or in your Operator Agreement. Operator Plans may include monthly credits, access to advisors, platform hosting, Mission Control access, app operation, ledger functionality, and other plan features.
5.2 Monthly Operational Costs
Every cabinet may have monthly or recurring Operational Costs. These costs may depend on the cabinet's current infrastructure, the decisions you have approved, domains or services you have added, usage volume, customer count, AI/job usage, support usage, email usage, database/storage usage, bandwidth, monitoring, and other system activity.
Mission Control will make you aware of upcoming Operational Costs, including estimated or scheduled deductions when available. Operational Costs may change from month to month as the cabinet's usage, configuration, or service needs change.
5.3 Credit Deductions for Operational Costs
Operational Costs may be deducted from eligible credits. If you have a monthly subscription or Operator Plan that grants credits, those credits may be used to pay Operational Costs unless a specific disclosure, credit-class rule, or risk control says otherwise. We may also deduct Operational Costs from Earned Credits, Purchased Credits, or other eligible credit classes according to the applicable wallet rules shown in Mission Control.
If your available eligible credits are insufficient, we may charge your saved payment method, ask you to buy credits, reduce or pause services, place the cabinet into a grace or suspended state, or take other action described in these Terms.
5.4 Subscription Renewal
Subscription charges may be billed to your saved payment method or, where supported, paid from eligible credits. If renewal is paid by credits, the credit classes eligible for renewal will be shown in Mission Control or checkout. Monthly Credits generally may be used for cabinet Operational Costs, but CEO Arcade may restrict circular use of credits if needed to prevent abuse, negative-margin activity, or payment failure.
5.5 Failed Payment, Low Credit Balance, Grace, Suspension, and Reclaim
If payment fails, you cancel, or your cabinet does not have sufficient eligible credits or payment method coverage, your cabinet may enter a lifecycle such as:
- Active: the cabinet operates normally;
- Operational Cost Due: upcoming or current Operational Costs are due;
- Grace Period: the cabinet may remain live while Mission Control shows warnings;
- Suspended: the dashboard may be limited and the public app may be paused, placed in safe mode, or replaced with a holding page;
- Reclaim Window: you may be able to restore the cabinet by paying overdue amounts, Hard Costs, reclaim fees, or other required charges; and
- Reclaimed: the cabinet may return to CEO Arcade inventory, be operated by CEO Arcade, be offered to another Operator, or become eligible for secondary-market treatment.
The exact timing and fees for grace, suspension, and reclaim may vary by plan, cabinet, risk status, payment history, customer obligations, and applicable law.
6. Credits and the Platform Economy
6.1 Credits Are Internal Ledger Units
Credits are internal ledger units used only within CEO Arcade. Credits are not legal tender, stored value, securities, cryptocurrency, transferable instruments, bank deposits, or general-purpose payment instruments. Credits may not be transferred, resold, traded, pledged, collateralized, assigned, or used outside CEO Arcade except through approved earned-credit cashout processes.
6.2 Credit Classes
CEO Arcade may maintain separate balances for Monthly Credits, Purchased Credits, Promo Credits, Earned Credits, Pending Earned Credits, Reserved Credits, and Locked Credits. We may add, rename, or modify credit classes as the Platform evolves.
Monthly, Purchased, and Promo Credits are generally operating fuel and are not withdrawable as cash. Earned Credits may become withdrawable as cash only if they meet settlement, reserve, KYC, tax, risk, and cashout requirements.
6.3 Credit Spend Order
Unless you choose a different eligible treasury setting, credits may be spent in a default order such as:
- Promo Credits;
- Monthly Credits;
- Purchased Credits; and
- Earned Credits.
We may let you preserve Earned Credits for cashout so they are not automatically used except with explicit approval.
6.4 Quotes, Reservations, and Settlement
For non-trivial actions, we may provide a quote showing expected credit cost, confidence, risk, recurring impact, Operational Cost impact, Hard Cost exposure, and whether human approval is required. When you approve a quote, credits may be reserved. Credits are typically settled after work is completed, verified, or otherwise closed.
If work is under budget, unused Reserved Credits may be returned to the source pool. If work exceeds the approved amount, we may pause and ask for further approval. If the work cannot be completed, we may return unused Reserved Credits, provide support credits, retry, escalate, or otherwise resolve the issue according to the applicable policy.
6.5 Operational Cost Deductions
Operational Cost deductions may occur automatically according to your cabinet's plan, usage, service configuration, and Mission Control disclosures. Upcoming deductions may be estimated before the deduction date and may be adjusted if usage, provider costs, or cabinet configuration changes.
You are responsible for monitoring Mission Control and keeping enough eligible credits or a valid payment method available for Operational Costs. We may place services into grace, suspended, degraded, safe-mode, or reclaimed status if Operational Costs cannot be paid.
6.6 Hard-Cost Restrictions
Some actions create immediate or external costs. Examples include domain registrations, infrastructure upgrades, paid ads, partner services, custom tools, external APIs, and certain third-party services. We may restrict which credit classes can pay for Hard Costs. For example, domain registration may require Purchased Credits, Earned Credits, cash, or a specific domain allowance, and may not be payable with ordinary Monthly Credits unless expressly included in your plan.
6.7 Expiration and Rollover
Monthly Credits, Promo Credits, and certain bonus credits may expire, roll over only up to a cap, or be forfeited when your account or cabinet is cancelled, suspended, or reclaimed. Purchased Credits may be subject to longer expiration or refund rules as stated in the Refund Policy. Earned Credits are subject to settlement, reserves, holds, cashout requirements, and lawful retention rules.
7. Revenue, Platform Fees, Operational Costs, and Earned Credits
7.1 Customer Payments
Customers of a cabinet may pay through Stripe, Stripe Connect, or another supported payment processor. Depending on the payment architecture, payments may be collected by CEO Arcade, by the Platform on your behalf, by a connected account, or by another structure disclosed in your Operator Agreement or payment setup flow.
7.2 Revenue Waterfall
Unless otherwise stated, business proceeds may be reduced by items such as:
- payment processor fees;
- taxes, VAT, sales tax, pass-through amounts, or remittance obligations;
- refunds, chargebacks, dispute fees, risk reserves, or holdbacks;
- the CEO Arcade or PermaShip Platform Fee;
- Operational Costs, infrastructure costs, scale packs, hosting, database, bandwidth, email, AI execution, QA, or other COGS attributable to the cabinet;
- approved Hard Costs or third-party costs; and
- other deductions disclosed in Mission Control, pricing, or the Operator Agreement.
The remaining eligible amount may become Earned Credits after settlement.
7.3 No Revenue Guarantee
You are responsible for distribution, outreach, audience development, customer acquisition, customer communications, and business decisions unless a specific service says otherwise. CEO Arcade does not guarantee that any cabinet will attract customers, generate revenue, become profitable, qualify for buyout, qualify for cashout, increase in value, or remain available.
8. Cashout
8.1 Earned Credits Only
Only settled Earned Credits may be eligible for withdrawal. Monthly Credits, Purchased Credits, Promo Credits, Pending Earned Credits, Reserved Credits, and Locked Credits are not withdrawable.
8.2 Settlement and Holds
New revenue may begin as Pending Earned Credits and become available only after settlement windows close. We may hold back a portion of earned amounts for refunds, disputes, chargebacks, fraud, taxes, infrastructure exposure, Operational Cost exposure, or other risk. Holdbacks may vary by cabinet, category, chargeback history, customer refund policy, country, payment method, or other risk factors.
8.3 KYC, Tax, and Payment Processor Requirements
Cashout may require Stripe Connect onboarding, KYC, tax forms, sanctions screening, bank-account verification, identity verification, business verification, and other processor or legal requirements. We may deny, delay, reverse, offset, freeze, or condition cashout if required by law, risk controls, payment processor rules, your account status, or these Terms.
8.4 Minimum Withdrawal and Account Standing
We may impose minimum withdrawal amounts, withdrawal windows, account-good-standing requirements, reserve thresholds, dispute thresholds, or plan requirements. If you have unpaid Operational Costs, unpaid infrastructure costs, a negative balance, unresolved disputes, open investigations, or inactive Operator Plan status, your cashout may be delayed or unavailable.
8.5 Refunds and Chargebacks
Refunds, chargebacks, dispute fees, and negative balances may be recovered from pending earned credits, reserved earned credits, available earned credits, future revenue, account balances, or other lawful offsets. We generally do not use Monthly Credits or ordinary Purchased Credits as a cash-equivalent refund source unless required by law or specific agreement.
9. Domains, DNS, Hosting, and Infrastructure
9.1 CEO Arcade Subdomains
We may provide a CEO Arcade-hosted subdomain or other hosted location for a cabinet. We may change, suspend, redirect, or disable subdomains for security, abuse, nonpayment, reclaim, compliance, or operational reasons.
9.2 Custom Domains
Custom domains are optional upgrades unless expressly included in your plan. Domain availability, price, renewal, transfer, registry rules, DNS propagation, and registrar policies may vary. Domain purchases may be non-refundable once registered, even if the cabinet is later cancelled, suspended, or reclaimed.
Unless a buyout or written agreement states otherwise, domains purchased through CEO Arcade may be platform-managed and platform-owned until buyout or approved transfer. While a domain is associated with an active cabinet, we may configure DNS, SSL, redirects, app subdomains, email records, and related routing on your behalf.
9.3 Infrastructure and Scale Packs
CEO Arcade may run cabinets on shared or dedicated infrastructure. If traffic, storage, compute, database, email, AI usage, customer count, or business activity increases, we may recommend or require infrastructure upgrades, scale packs, dedicated services, or other changes. Such upgrades may incur recurring credits, Operational Cost deductions, COGS deductions, subscription changes, or cash charges.
9.4 Maintenance and Changes
We may perform maintenance, migrations, security patches, upgrades, rollbacks, dependency changes, domain changes, hosting changes, provider migrations, or emergency actions as needed to operate the Platform or protect users, customers, and systems.
10. AI Advisors, AI Staff, and PermaShip Execution
CEO Arcade uses AI systems, advisors, agents, automated pipelines, QA systems, PermaShip execution workflows, third-party model providers, and human reviewers to provide the Platform. AI outputs may be inaccurate, incomplete, delayed, or unsuitable for your specific circumstances.
You remain responsible for deciding whether to approve missions, quotes, content, outreach, policies, customer communications, pricing, features, domains, and business actions. Advice may be included in your plan, but execution generally requires credits, approval, or additional charges.
We may route approved work through PermaShip or other execution systems. Work may involve planning, implementation, tests, QA, CI/CD, code review, deployment, and post-deployment checks. We do not guarantee that any feature, fix, or change will be completed within a specific time, free of bugs, compatible with all systems, or commercially successful.
11. Your Responsibilities as Operator
You agree to:
- operate cabinets lawfully and ethically;
- comply with payment processor rules, domain registrar rules, applicable laws, platform policies, and customer-protection obligations;
- provide accurate account, tax, payment, and KYC information;
- avoid misleading customers about who operates the cabinet or what the cabinet provides;
- honor customer-facing promises, refund commitments, delivery obligations, and support obligations;
- respond to customers in good faith;
- review and approve quotes carefully before spending credits;
- monitor Mission Control for upcoming Operational Costs, warnings, customer issues, and cabinet status changes;
- maintain sufficient eligible credits or payment method coverage for Operational Costs and approved services;
- avoid synthetic, fraudulent, circular, or self-funded revenue designed to inflate Earned Credits, rankings, valuation, or marketplace price;
- avoid prohibited content and high-risk business models unless expressly approved;
- keep your account secure; and
- notify us promptly of suspected unauthorized access, customer disputes, legal issues, or security incidents.
12. Prohibited Uses
You may not use CEO Arcade, any cabinet, or any generated SaaS business to:
- violate law, regulation, sanctions, tax rules, export controls, consumer-protection rules, privacy laws, payment rules, domain rules, or intellectual-property rights;
- operate illegal, deceptive, harmful, exploitative, infringing, abusive, or high-risk businesses;
- process prohibited goods, restricted services, unlawful payments, or unsupported business categories;
- generate fake customers, fake payments, synthetic revenue, wash transactions, self-dealing transactions, or fraudulent earned credits;
- resell, transfer, trade, or arbitrage credits, accounts, reservations, or cashout rights outside approved Platform workflows;
- scrape, attack, overload, reverse engineer, or interfere with the Platform;
- bypass credit rules, Hard-Cost restrictions, Operational Cost rules, cashout rules, KYC, fraud controls, or usage limits;
- misrepresent your relationship with CEO Arcade, PermaShip, Stripe, customers, or third-party providers;
- upload or transmit malware, phishing content, illegal data, or harmful code;
- use AI outputs to deceive customers or impersonate others;
- use the Platform to harass, defame, exploit, discriminate, or harm others; or
- take any action that, in our judgment, creates legal, security, financial, compliance, reputational, or operational risk to CEO Arcade, PermaShip, our providers, other operators, or customers.
We may suspend, freeze, reclaim, delete, disable, or investigate cabinets, accounts, treasury activity, cashouts, domains, features, or services if we believe a prohibited use occurred.
13. Ownership and Intellectual Property
13.1 Platform-Owned Assets
Unless otherwise stated in a signed agreement or buyout document, CEO Arcade and PermaShip retain all rights, title, and interest in:
- the CEO Arcade Platform;
- Mission Control;
- PermaShip and related execution infrastructure;
- the unbranded substrate code;
- reusable templates, modules, frameworks, workflows, prompts, models, pipelines, QA tools, provisioning tools, dashboards, advisors, and internal systems;
- generalized improvements, fixes, modules, or patterns applicable across cabinets; and
- all intellectual property not expressly granted to you.
13.2 Brand Pack License
While a cabinet is active and in good standing, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Brand Pack associated with that cabinet for operating the cabinet through CEO Arcade. If the cabinet is cancelled, suspended beyond the reclaim window, reclaimed, transferred, or otherwise disabled, that license may end and the Brand Pack may return to inventory.
13.3 Customer Data
Subject to applicable law, payment processor rules, customer agreements, privacy policies, and these Terms, customer data generated through a cabinet is associated with that cabinet. We process such data to operate the Platform, provide the cabinet, support payments, manage cashout, detect fraud, comply with law, and provide services. The specific ownership, export, transfer, or deletion rights for customer data may depend on the cabinet lifecycle, buyout status, marketplace transfer, and applicable privacy rules.
13.4 Operator Content
You retain rights in content you provide to us, subject to the license needed for us to operate, improve, display, modify, process, host, and use that content in connection with the Platform and your cabinets. You represent that you have all necessary rights to provide such content and that it does not violate law or third-party rights.
13.5 Custom Features
Unless expressly stated otherwise in an approved quote, signed agreement, or buyout document, custom features, fixes, workflows, generated code, reusable modules, or improvements created through CEO Arcade or PermaShip may be reused by CEO Arcade across other cabinets, templates, operators, or platform systems. Exclusive features, private modules, or non-reusable work may require an exclusive-feature surcharge or separate agreement.
13.6 Buyout
If buyout is available, eligibility, scope, price, payment method, transfer rights, IP rights, domain transfer, source-code transfer, data export, customer relationship transfer, Stripe/account changes, ongoing subscription fees, Operational Costs, and transition steps will be governed by the buyout terms presented at that time. Buyout pricing may depend on revenue, MRR, age, risk, platform investment, feature history, domain value, customer base, and other factors.
14. Marketplace, Transfer, and Portfolio Features
CEO Arcade may offer future portfolio, secondary market, cabinet transfer, operator-right sale, auction, reclaim, or buyout features. Unless a cabinet has been bought out or specific sale terms state otherwise, what may be transferred is generally the right to operate a platform-managed cabinet, not ownership of all IP, code, domain, or platform assets.
Marketplace or transfer features may require eligibility checks, KYC, tax review, fraud review, payment reserves, seller holdbacks, transfer fees, revenue verification, customer-data rules, and anti-abuse controls. We may deny, reverse, delay, suspend, or condition marketplace transactions where we identify risk.
Credits may not be traded or resold outside approved Platform workflows. Secondary market proceeds, if any, may be subject to reserves and may be credited as Earned Credits, pending amounts, or another ledger category.
15. Payments, Billing, Taxes, and Third-Party Processors
You authorize us and our payment processors to charge your payment methods for reservations, Launch Passes, Launch Plus purchases, Operator Plans, renewals, credit packs, Operational Costs, Hard Costs, approved services, infrastructure, scale packs, buyouts, fees, or other purchases you authorize.
You are responsible for taxes, duties, fees, and reporting obligations associated with your use of the Platform, your business activities, customer transactions, cashouts, and earnings, except to the extent CEO Arcade or a payment processor is legally required to collect or remit them.
Payments, payouts, refunds, chargebacks, KYC, tax reporting, settlement, and identity verification may be processed by Stripe, Stripe Connect, or other third-party providers. Your use of those services may be subject to their terms, policies, fees, restrictions, and onboarding requirements.
We may correct billing errors, issue credits, reverse credits, apply offsets, update fees, collect overdue amounts, or suspend services for unpaid balances, failed payments, chargebacks, Operational Cost shortfalls, or risk holds.
16. Refunds
Refunds are governed by the Refund Policy and any checkout-specific disclosures. Generally:
- a Launch Pass or reservation may be refundable before substantial preparation, build work, service setup, Mission Control customization, or Hard Costs begin;
- after substantial preparation, build work, Mission Control setup, approved work, or service setup begins, the Launch Pass or reservation may be non-refundable, though support credits may be granted for Platform failures;
- domain registrations and other Hard Costs may be non-refundable once incurred;
- purchased credits may be refundable only under stated conditions and are not withdrawable as cash;
- completed custom feature work is generally non-refundable unless there is a Platform failure or material mismatch with the approved quote; and
- Earned Credits are business proceeds, not purchases, and are handled through cashout rather than refund.
We may deny refunds where there is fraud, abuse, chargeback activity, violation of these Terms, completed delivery, substantial work performed, or non-refundable Hard Costs.
17. Privacy and Data Processing
Our collection, use, and sharing of personal data are described in the Privacy Policy. By using the Platform, you agree that we may process account data, operator data, cabinet data, customer data, payment metadata, KYC status, telemetry, logs, support messages, AI interactions, and other data as needed to provide, secure, improve, bill, audit, and operate the Platform.
You are responsible for ensuring that your cabinet's customer-facing privacy notices, consent flows, support practices, marketing practices, and data practices comply with applicable law. If you request a feature, workflow, or customer-facing copy that affects privacy obligations, you remain responsible for reviewing it before use.
We may share data with service providers such as payment processors, hosting providers, AI model providers, domain registrars, analytics providers, email providers, security providers, and infrastructure providers as needed to provide the Platform. We may also disclose data to comply with law, enforce these Terms, prevent fraud, protect rights, or respond to legal process.
18. AI, Generated Content, and Business Decisions
AI-generated suggestions, business plans, legal-adjacent summaries, marketing copy, outreach scripts, pricing suggestions, code, features, customer communications, and advisor recommendations may be inaccurate, incomplete, biased, outdated, or unsuitable. You should review all AI output before using it in your business.
CEO Arcade does not provide legal, tax, financial, investment, accounting, employment, regulatory, medical, or professional advice. You are responsible for obtaining professional advice where appropriate.
You are solely responsible for business decisions you make, including pricing, customer targeting, outreach, domain choices, refund promises, support policies, feature approvals, cashout choices, cost-management choices, and reinvestment decisions.
19. Service Availability, Beta Features, and Changes
The Platform may be experimental, automated, AI-assisted, or beta in whole or in part. We may change, add, remove, suspend, rename, reprice, deprecate, or limit features, credits, plans, cabinets, AI advisors, service providers, workflows, pricing, Operational Cost calculations, or policies.
We may provide notice of material changes where required or where commercially reasonable. Existing approved quotes may settle at their original approved quote unless otherwise required for risk, legal, operational, or technical reasons.
We do not guarantee that the Platform, any cabinet, any domain, any AI advisor, any feature, any deployment, or any third-party service will be uninterrupted, error-free, secure, available, profitable, compliant for your use case, or compatible with every customer, browser, jurisdiction, or integration.
20. Suspension, Freezes, and Enforcement
We may suspend, freeze, restrict, reclaim, disable, remove, or investigate any account, cabinet, mission, credit balance, cashout, domain, app, feature, customer flow, or treasury activity if we believe:
- you violated these Terms;
- there is fraud, chargeback abuse, synthetic revenue, self-dealing, or credit-system abuse;
- your cabinet or business model creates legal, compliance, payment, security, or reputational risk;
- your payment method fails, your plan expires, or Operational Costs cannot be paid;
- a provider, registrar, bank, payment processor, court, regulator, or platform rule requires action;
- a security incident or suspected breach occurs;
- customer harm, prohibited content, or unlawful conduct is reported;
- continuing service may expose us or others to harm; or
- suspension is needed to protect infrastructure, customers, providers, or other operators.
We may preserve data, logs, records, reserves, or evidence as needed for investigation, legal compliance, dispute resolution, accounting, fraud prevention, or security.
21. Third-Party Services
CEO Arcade may rely on third-party services, including payment processors, cloud providers, registrars, DNS providers, AI model providers, email providers, analytics providers, observability providers, support tools, and business-service partners. We are not responsible for third-party outages, errors, policy changes, fees, delays, data practices, account closures, or restrictions, except as required by law.
Your use of third-party services may require separate terms, accounts, KYC, API keys, identity verification, payment methods, or approvals. We may change providers or provider configurations at any time to operate, secure, or improve the Platform.
22. Confidentiality and Security
You may receive access to non-public information about CEO Arcade, cabinets, pricing, AI systems, prompts, platform workflows, feature plans, customer records, code, infrastructure, or other operators. You agree not to disclose confidential information except as required to operate your cabinet or as authorized by us.
We use reasonable safeguards to protect the Platform, but no system is perfectly secure. You are responsible for securing your account, payment methods, connected services, domains, and customer-facing operations.
23. Feedback
If you provide ideas, suggestions, feature requests, reports, names, copy, prompts, workflows, business concepts, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and incorporate that feedback without obligation to compensate you, unless a separate written agreement says otherwise.
24. Disclaimers
THE PLATFORM, CABINETS, AI OUTPUTS, CREDIT SYSTEM, MISSION CONTROL, DOMAIN TOOLS, PAYOUT TOOLS, APP FACTORY, PERMASHIP WORKFLOWS, OPERATIONAL COST ESTIMATES, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, BUSINESS SUCCESS, REVENUE, PROFITABILITY, CUSTOMER ACQUISITION, COMPLIANCE FOR YOUR USE CASE, AND ERROR-FREE OPERATION.
No earnings, revenue, profit, valuation, sale, buyout, or cashout outcome is guaranteed. Operator results vary.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEO ARCADE, PERMASHIP, INC., AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOST DATA, LOST CUSTOMERS, DOMAIN LOSS, PAYMENT PROCESSING DELAY, CASHOUT DELAY, GOODWILL LOSS, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY CABINET WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID CEO ARCADE FOR THE AFFECTED CABINET IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
26. Indemnification
You agree to defend, indemnify, and hold harmless CEO Arcade, PermaShip, Inc., and their affiliates, officers, directors, employees, contractors, agents, providers, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
- your use of the Platform;
- your operation of any cabinet;
- your customer relationships, products, services, promises, refunds, support, marketing, or outreach;
- your content or data;
- your violation of these Terms, law, payment rules, registrar rules, or third-party rights;
- your taxes, reporting, or business registration obligations;
- your misuse of credits, cashouts, domains, payments, or AI outputs;
- your failure to maintain sufficient credits or payment coverage for Operational Costs; or
- any dispute between you and your customers, partners, users, employees, contractors, or buyers.
27. Termination
You may stop using the Platform or close your account at any time, subject to unpaid balances, cabinet lifecycle rules, refund rules, cashout rules, data-retention rules, and any active obligations. Termination does not automatically cancel chargeback obligations, customer obligations, legal obligations, domain renewals, outstanding fees, Operational Costs, Hard Costs, or amounts owed.
We may terminate, suspend, or restrict your account or cabinets if you breach these Terms, create risk, fail to pay, misuse the Platform, or if continuing service is no longer commercially, legally, or operationally reasonable.
Upon termination, your license to use Mission Control, cabinets, Brand Packs, platform assets, and services ends, except as expressly stated in buyout terms or required by law. Earned Credits available for cashout may be paid subject to settlement, reserves, KYC, tax, risk, and cashout requirements.
28. Changes to These Terms
We may update these Terms from time to time. If changes are material, we may provide notice through the website, Mission Control, email, checkout, or another reasonable method. Your continued use of the Platform after updated Terms become effective means you accept the updated Terms.
If you do not agree to updated Terms, you must stop using the Platform and may cancel subject to applicable lifecycle, refund, cashout, and reclaim rules.
29. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Before filing a claim, the parties will attempt to resolve disputes in good faith by contacting legal@permaship.ai and describing the issue. If the dispute is not resolved informally, disputes will be handled in the state or federal courts located in Delaware, unless a signed agreement or applicable law requires otherwise.
You and CEO Arcade each waive any right to participate in a class action or representative proceeding to the maximum extent permitted by law.
30. Miscellaneous
These Terms, together with any referenced policies or accepted agreements, are the entire agreement between you and CEO Arcade regarding the Platform. If any part of these Terms is found invalid or unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, asset sale, affiliate transfer, or operation of the Platform.
Headings are for convenience only. The word “including” means “including without limitation.”
